Tricia Steele is an American attorney and independent legal consultant specializing in international capital markets, cross-border transactions, and corporate finance.[1] With over two decades of experience in complex financial transactions, she has practiced law across multiple jurisdictions including the United States, Middle East, China, and London.[2] Currently based in Asheville, North Carolina, Steele operates her own consulting firm while serving as an advisor to corporate clients on matters ranging from FinTech compliance to international regulatory regimes.[3]

Steele completed her undergraduate education at Duke University in 2001, graduating magna cum laude with an A.B. in Philosophy.[5] During her undergraduate years, she spent the 1999-2000 academic year as a visiting scholar in Philosophy at Oxford University.
Following her undergraduate studies, Steele pursued legal education at the University of Chicago Law School, earning her Juris Doctor degree in 2004.[6] She later returned to academic study in 2018, obtaining certification in FinTech Law and Policy from Duke University School of Law's Global Financial Markets Center.[7]
Career
Early Legal Practice
Steele began her legal career in 2004 at Vinson & Elkins, LLP as an associate in their International Capital Markets and Securities practice.[8] During her decade-long tenure at the firm, which lasted until 2014, she gained extensive experience practicing on location in multiple international jurisdictions including the Middle East, China, and London.
At Vinson & Elkins, Steele represented clients in cross-border transactions and regulatory compliance matters.[9] Her work included advising international issuers on ongoing compliance obligations under U.S. securities laws and representing both underwriters and issuers in various debt and equity securities offerings. These transactions encompassed registered offerings, private placements, shelf offerings, tender offers, and exchange offers on major exchanges including the New York Stock Exchange and NASDAQ, as well as international securities offerings on foreign stock exchanges.[10]
Mid-Career Positions
In 2015, Steele joined Arent Fox LLP as Senior Attorney in their Corporate Finance practice in Washington, D.C.[11] In this role, she served as senior counsel and primary client contact on matters related to securities, mergers and acquisitions, and corporate regulation. Her responsibilities included managing junior attorneys on transactional matters and overseeing domestic debt and equity securities offerings for middle-market private companies.[12] She also provided counsel to private companies on general corporate governance matters, applicable regulations, and best practices.
Partnership and Consulting
From 2016 to 2019, Steele served as Founding Partner of SL Global Partners in Washington, D.C.[13] As Managing Partner, she led transactional project teams within a consortium of international firms specializing in global capital markets, FinTech, cross-border transactions, mergers and acquisitions, Islamic finance, alternative investments, securities regulations, corporate governance, and international regulatory regimes.
In 2019, Steele established Steele Legal Consulting in Asheville, North Carolina, where she currently operates as an independent consultant and advisor.[14] Her consulting practice focuses on assisting corporate clients with internal management of transactional projects, particularly in areas of corporate formation, FinTech compliance, international regulations, and contractual negotiation.[15]

Steele has authored numerous publications on legal and financial topics.[18] Her written works include "Big Law and the Wizard of Oz: Who's Behind the Curtain of Your Big Firm (and the Bill)?" published on Lawyer.com in February 2017, and several contributions to the Global Islamic Finance Reports, including "Regulatory Issues in Islamic Finance and New Developments" (2011) and "Product Positioning in the Global Markets" (2010).[19]
She has also written for The China Dealmaker, contributing an article on "Material Adverse Change (MAC) Clauses in M&A Transactions" in June 2010.[20] In 2009, she authored a chapter titled "Innovation and New Opportunities: Sukuk in the West" for the book "Islamic Wealth Management: A Catalyst for Global Change and Innovation" published by Euromoney Books.[21]
Steele has participated in various speaking engagements, including presenting on "Examining Alternative Investments & Private Equity" at the Islamic Finance World Conference in Toronto in May 2007.[22]
Professional Service and Leadership
Throughout her career, Steele has engaged in various professional service activities.[23] At Vinson & Elkins, she served on the recruiting committee, participating in hiring decisions and conducting on-campus interviews at prestigious law schools including the University of Chicago Law School and Harvard Law School.
Steele has been actively involved in human rights and pro bono work.[24] She co-led teams of attorneys and law students on trips to Mumbai and Chennai, India, to document cases of labor issues and human trafficking. Her work in India was featured in articles in both the Texas Bar Journal in September 2006 and Duke Magazine in May/June 2002.[25] She also served as a visiting lawyer for the International Justice Mission, providing training to indigenous lawyers in Thailand on trial advocacy skills, interviewing, and documentation techniques.[26]
At the University of Chicago, Steele served as Project Leader and Liaison for the Human Rights Center, working between faculty and undergraduates to develop curriculum for the "Scholars at Risk" Program, an intervention project supporting persecuted academics abroad.[27] Additionally, she contributed to the Human Rights Documentation Center and South Asia Human Rights Documentation Center, co-writing a country report on South Africa that was published for the U.N. World Conference Against Racism in 2001.[28]
